Introduction

At NourLabs, we want using NourForm, NourLMS, and our other products to be clear from the start. These terms describe what you can expect from us, what we expect from you, and the rules that govern our relationship.

These terms apply to NourLabs, a software company registered in Niamey, Niger (RCCM No. NE-NIM-01-2026-A10-02672 — NIF No. 168960/P), and to all of its products — currently NourForm (in production) and NourLMS (in development), as well as any future NourLabs product (the "Products").

In short

  • A User Institution creates an account and configures a Product; Respondents interact with that Product without needing an account.
  • The User Institution remains responsible for the content it publishes and the data it chooses to collect.
  • We bill for use of the Products according to the rates in effect; some features, such as built-in payments, carry an additional cost.
  • We may suspend an account in case of abusive use, but we let you know whenever possible.
  • Data protection is addressed separately in our Privacy Policy and our Data Processing Agreement (DPA), signed with each User Institution.

1. Purpose and acceptance

These terms govern access to and use of NourLabs Products, whether as a User Institution holding an account, or as a Respondent interacting with a Product configured by a User Institution.

By creating an account or using a Product, you agree to these terms. If you accept them on behalf of an organization, you confirm you have the authority to bind it.

2. Who can use our Products

Our Products are intended for use by institutions and their adult representatives, capable of entering into a contract. A Respondent enrolled by a User Institution — for example, a learner on NourLMS — may be a minor; in that case, it is up to the User Institution to ensure compliance with applicable requirements, including parental consent where required.

3. User Institution account

  • Accuracy of information: you agree to provide accurate information when creating your account and to keep it up to date.
  • Account security: you are responsible for keeping your credentials confidential and for any activity carried out from your account.
  • One account, one organization: an account is intended for a single User Institution; it may not be transferred without our written consent.

Contact us as soon as possible if you suspect unauthorized access to your account.

4. Using the Products

Subject to compliance with these terms, we grant you a non-exclusive, non-transferable right to access and use the Products for the purposes of your activity.

  • NourForm: creating forms, collecting responses, and — when configured — collecting payments related to a form.
  • NourLMS: creating and delivering courses, quizzes, live sessions, certificates, and spaces for learners to interact [features in development].

5. Content and the User Institution's responsibility

The User Institution is solely responsible for the content it publishes through the Products (form fields, course content, communications sent to Respondents) and for the data it chooses to collect from its Respondents.

  • Lawfulness of content: the User Institution warrants that its use of the Products complies with applicable regulation, including data protection law.
  • Rights to content: the User Institution warrants that it holds the rights necessary for the content it publishes or transmits through the Products.
  • NourLabs' role: as set out in our Privacy Policy, NourLabs acts as a technical processor for data that the User Institution collects from its Respondents; it does not determine the purposes or means of that processing.

6. Prohibited use

You agree not to use the Products, including their payment features, for:

  • unlawful, fraudulent, or deceptive activity of any kind;
  • the exploitation or abuse of minors in any form; any account used for this purpose will be immediately terminated and reported to the competent authorities;
  • soliciting or promoting paid sexual services;
  • selling, promoting, or distributing drugs, controlled substances, or any illegal product;
  • unauthorized ticket sales (concerts, shows, events) or any protected content without the necessary rights;
  • collecting sensitive data without an appropriate legal basis;
  • disrupting, overloading, or compromising the security of the Products;
  • accessing another User Institution's data without authorization;
  • reselling or redistributing access to the Products without our written consent;
  • sending unsolicited communications (spam) to Respondents.

This list is illustrative, not exhaustive. Any breach of this section may result in the immediate suspension or termination of your account, under the conditions of section 11, without prejudice to any report to the competent authorities where the situation requires it.

7. Payments and billing

  • NourLabs subscription: use of certain Products or features is billed according to the rates in effect at the time of subscription, communicated separately.
  • Payments processed on the User Institution's behalf: when a Product includes a payment intended for the User Institution (e.g. a paid registration), that payment is processed by our payment providers (LigdiCash, I-Pay); NourLabs does not store Respondents' payment credentials.
  • Non-payment: a payment delay may result in suspension of access to the Products until the account is brought up to date.
  • Taxes: rates are exclusive of applicable taxes, unless stated otherwise.

8. Intellectual property

The Products, their code, design, and brand remain the exclusive property of NourLabs. Nothing in these terms transfers any intellectual property right in the Products to the User Institution.

The User Institution retains all of its rights in the content it publishes through the Products (forms, courses, collected responses). It grants NourLabs a limited license, necessary to host, display, and operate that content as part of the Products.

9. Data protection

The processing of personal data in connection with the Products is described in our Privacy Policy. Where the User Institution acts as data controller with respect to its Respondents, the terms of processing by NourLabs are set out in our Data Processing Agreement (DPA), signed with each User Institution and forming an integral part of the contractual relationship.

10. Availability and evolution of the Products

We strive to keep the Products continuously available, without guaranteeing uninterrupted availability. We may evolve, modify, or remove a feature, in particular for reasons of security, performance, or product evolution; we will inform you of significant changes to the extent reasonable.

11. Suspension and termination

  • By the User Institution: you may terminate your account at any time by contacting us.
  • By NourLabs: we may suspend or terminate your access in the event of a breach of these terms, in particular section 6, after informing you where circumstances allow.
  • Effects of termination: what happens to data at the end of the Agreement is governed by our Data Processing Agreement (DPA), signed with each User Institution, and our Privacy Policy.

12. Limitation of liability

To the extent permitted by applicable regulation, NourLabs will not be liable for indirect damages resulting from use of the Products (loss of profit, data, or business opportunity). NourLabs' liability under these terms is limited to the amounts actually paid by the User Institution during the twelve (12) months preceding the event giving rise to the damage.

13. Indemnification

The User Institution agrees to indemnify NourLabs against any third-party claim arising from content it has published through the Products, a breach of these terms, or a violation of regulation applicable to its use of the Products.

14. Governing law

These terms are governed by the law of Niger. Any dispute relating to their validity, interpretation, or performance will be submitted to the competent courts of Niamey, Niger.

15. Changes to these terms

We may update these terms to reflect the evolution of the Products. The last-updated date appears at the top of this document. In the event of a material change, we will inform User Institutions through an appropriate channel, such as email or a notice on our site.
